These Terms and Conditions constitute a legally binding agreement between you and PathForward Institute. By accessing or using our website and services, you acknowledge that you have read, understood, and agree to be bound by these terms.

Important: These Terms and Conditions contain provisions that limit our liability and require you to resolve disputes through arbitration on an individual basis. Please review them carefully. If you do not agree to these terms, you must not access or use our services.

  • Providing honest and accurate information during assessments and consultations
  • Attending scheduled sessions on time or providing reasonable notice of cancellations
  • Actively participating in programs to which you have enrolled
  • Respecting the confidentiality of other participants in group programs

3. Prohibited Activities and Behaviors

You are expressly prohibited from:

  • Using our services to harass, threaten, or intimidate any person
  • Posting or transmitting any unlawful, harmful, or offensive content
  • Misrepresenting your identity or affiliation with any person or organization
  • Collecting or harvesting personal information about other users
  • Using automated systems or bots to access our services
  • Reverse engineering, decompiling, or attempting to derive source code from our services
  • Reselling or commercially exploiting our services without authorization

4. Content Guidelines and Restrictions

You are responsible for maintaining the confidentiality of any personal information you share through our services and for any consequences resulting from unauthorized disclosure.

9. Third-Party Interactions

Your interactions with employers, recruiters, or other third parties found through or introduced by our services are solely between you and such third parties. PathForward Institute is not responsible for any disputes, damages, or losses arising from such interactions. We do not endorse any specific employer or opportunity.

Disclaimers and Limitations of Liability

10. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis. PathForward Institute makes no warranties, express or implied, including but not limited to:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties that our services will be uninterrupted, secure, or error-free
  • Warranties regarding the accuracy or completeness of content or advice provided
  • Warranties that our services will result in specific career outcomes or job placements

We do not guarantee any specific results from participating in our programs. Career success depends on many factors outside our control, including market conditions, individual effort, and personal circumstances.

11. Limitation of Liability

To the maximum extent permitted by law, PathForward Institute shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages resulting from your inability to use our services
  • Damages arising from third-party content or conduct

Our total liability to you for any claims arising from these terms or your use of our services shall not exceed the amount you paid to PathForward Institute in the twelve months preceding the claim.

12. Consequential Damages Exclusion

PathForward Institute shall not be liable for any consequential, indirect, or special damages, including but not limited to lost income, career setbacks, reputational harm, or emotional distress, whether or not we have been advised of the possibility of such damages.

13. Force Majeure Provisions

PathForward Institute shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, or technical failures. In such events, our obligations shall be suspended for the duration of the force majeure event.

Legal Information and Dispute Resolution

14. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from these terms or your use of our services shall be subject to the exclusive jurisdiction of the courts located in Tokyo, Japan.

15. Dispute Resolution Procedures

In the event of any dispute, claim, or controversy arising from these terms:

  • You agree to first contact us to attempt to resolve the dispute informally
  • If informal resolution fails within 4-13-40 Minami Hatsutomi, Kamagaya City, Chiba Prefecture, 273-0123either party may initiate mediation
  • If mediation is unsuccessful, disputes shall be resolved through binding arbitration
  • Arbitration shall be conducted in accordance with the rules of the Japan Commercial Arbitration Association

You agree to waive any right to participate in class action lawsuits or class-wide arbitration.

16. Severability Clause

If any provision of these Terms and Conditions is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.

17. Terms Modification Policy

We reserve the right to modify these Terms and Conditions at any time. When we make changes:

  • For material changes, we will provide notice through our website or via email
  • Your continued use of our services after changes take effect constitutes acceptance

18. Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and PathForward Institute concerning your use of our services. These terms supersede all prior agreements, understandings, and communications, whether written or oral.
